Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 12, 2020, the Board of Directors of V.F. Corporation (the “Company”) amended the Company’s Amended and Restated By-Laws (as amended, the “By-Laws”) to expressly permit the Company to hold meetings of the Company’s shareholders by means of conference telephone or other electronic means, including, without limitation, the Internet, effective immediately. The foregoing summary description of the amendments to the By-Laws is qualified in its entirety by reference to the full text of the By-Laws, which are attached hereto as Exhibit 3.1 and incorporated herein by reference.
